Terms of Hire

The operational foundation of our partnership. Please read these comprehensive terms carefully before confirming your quotation.

Effective Date: October 1, 2026

These Terms and Conditions constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("Client"), and Sherehe Events Limited ("Company"), concerning your hire of event equipment and related logistical services within the Republic of Kenya.

1. Definitions and Interpretation

1.1. "Equipment" refers to all tents, furniture, lighting rigs, decor items, flooring, and accessories supplied by the Company.
1.2. "Hire Period" refers to the standard 24-hour block commencing from the time the setup is formally completed by the Company's crew, unless explicitly extended in the final quotation.
1.3. "Site" refers to the geographical location and exact physical space within that location where the Equipment is to be delivered and erected.

2. Quotations, Payments & Deposits

2.1. All quotations provided by the Company are valid for a strict period of seven (7) calendar days. Inventory is not held, reserved, or guaranteed during this quotation phase.
2.2. A legally binding contract is only formed, and inventory definitively reserved, upon receipt of a non-refundable fifty percent (50%) deposit of the total quoted amount.
2.3. The outstanding balance of fifty percent (50%) MUST be cleared into the Company's accounts (via MPESA or cleared bank transfer) no later than twenty-four (24) hours prior to the scheduled dispatch of delivery trucks. The Company reserves the absolute right to withhold delivery, without refund of the deposit, if this final balance is not cleared.
2.4. A refundable damage deposit (ranging from KES 10,000 to KES 100,000 depending on the scale and fragility of the inventory) may be required. This deposit will be refunded via bank transfer within 48 hours post-event, strictly subject to a complete and satisfactory inventory inspection at the warehouse.

3. Amendments & Cancellation Policy

3.1. Cancellations 14+ Days Prior: The 50% deposit remains non-refundable. However, the Client may elect to transfer this deposit to a future event occurring within six (6) months of the original date, subject to inventory availability on the new date.
3.2. Cancellations within 7-13 Days: The deposit is entirely forfeited. No transfers are permitted due to the severe loss of alternative booking opportunities for that inventory.
3.3. Cancellations within 72 Hours: The Client is liable for 100% of the total invoice value. If the final balance has not been paid, the Company will pursue legal channels for the remainder.
3.4. Reductions in inventory quantities cannot exceed 10% of the original invoice value once the deposit is paid. Additions are subject to stock availability and will be invoiced separately.

4. Delivery, Access & Site Readiness

4.1. The Client warrants that the Site is flat, firm, and clear of all debris, underground utility lines (water/power), overhead cables, and overhanging trees that may obstruct the safe erection of tall structures (such as A-Frame tents).
4.2. Vehicle Access: The Client must ensure unrestricted, hard-standing access for 3-ton to 10-ton lorries to within thirty (30) meters of the exact setup location. If vehicles cannot access the perimeter (due to mud, narrow gates, or strict estate rules), a mandatory porterage surcharge (calculated at KES 5,000 per hour of manual labor) will be immediately applied.
4.3. The Company will not delay or alter its delivery schedule due to the Client's venue not being ready (e.g., landscapers still working, previous event not cleared). Waiting times exceeding 60 minutes will be billed at KES 3,000 per hour.
4.4. For indoor setups requiring elevator access, the Client must guarantee exclusive use of a freight elevator for the duration of the load-in. Failure to secure an elevator may result in setup delays or cancellation of heavy inventory delivery.

5. Client Liability & Prohibited Actions

5.1. Strict Prohibition on Movement: Under no circumstances is the Client, their guests, or third-party venue staff permitted to move, alter, dismantle, or tamper with structural tents, lighting rigs, or heavy flooring once erected by the Company's crew. Doing so immediately voids all safety liabilities and the Client assumes full criminal and civil responsibility for any resulting collapse or injury.
5.2. Sub-Hiring: The Client shall not sub-hire, lend, or transfer the Equipment to any third party.
5.3. Adhesives & Modifications: The use of staples, nails, superglue, or permanent tapes on tent canvases, poles, or chairs is strictly prohibited. Removal of unauthorized adhesives will incur a minimum KES 15,000 cleaning fee, or full replacement cost if the canvas is torn.

6. Insurance, Damage & Cleaning

6.1. The Client assumes absolute risk and responsibility for the Equipment from the exact moment delivery and setup are completed until the Company retrieves the items post-event.
6.2. Replacement Costs: Any Equipment that is lost, stolen, destroyed, or damaged beyond repair (including but not limited to deep burns to linens, cracked acrylic chairs, slashed canvas, or water damage to electronic PA systems) will be invoiced to the Client at the full, current market replacement cost - not a depreciated value.
6.3. Cleaning Fees: Standard laundry and wipe-downs are included in the hire fee. However, linens returned with irreversible stains (e.g., deep red wine, candle wax, permanent marker) or equipment returned covered in mud due to severe site negligence will trigger the forfeiture of the damage deposit and potential further invoicing.

7. Force Majeure & Weather Disruption

7.1. The Company shall not be liable for any failure to perform its obligations if such failure is caused by Acts of God, including but not limited to severe flooding, gale-force winds, earthquakes, pandemics, civil unrest, national strikes, or government-mandated lockdowns (e.g., curfews).
7.2. Safety Halts: If, upon arrival at the Site, the Operations Manager determines that extreme weather conditions (such as high winds, electrical storms, or severe mudslides) pose an immediate threat to the structural integrity of the tents or the physical safety of the crew, the Company reserves the absolute right to halt setup operations. No refunds will be issued in such emergency safety scenarios.

8. Governing Law & Jurisdiction

8.1. These Terms and Conditions shall be governed by and construed strictly in accordance with the Laws of the Republic of Kenya.
8.2. Any disputes arising out of or in connection with this agreement shall first be subjected to good-faith mediation in Nairobi. If unresolved within 30 days, the dispute shall be subject to the exclusive jurisdiction of the Kenyan Courts.
